Company Registration Process in Indonesia: Overview

Step 1: Business Classification

Key Requirements for Company Registration in Indonesia

1. Shareholders
A minimum of two shareholders is required, either individuals or corporate entities. Most business classifications allow up to 100% foreign ownership. Shareholders can also serve as directors or commissioners.

2. Capital Requirements
The official capital requirement for a PT PMA company is 10.5 billion Indonesian Rupiah per shareholder. This capital does not have to be injected directly into the company, though uninvested capital becomes the owner’s liability.

The inclusion of local shareholders does not change the capital requirement unless they own the entire company.

3. Commercial Address
